OVERVIEW: Zinch has set aside $100,000 to be distributed through a scholarship matching program (the “Program”) where Zinch will match dollar-for-dollar any eligible scholarship award that you (a registered Zinch user), or a friend you refer to Zinch, locate, apply for, and mark as applied through Zinch, and that you or your friend is awarded. Awards will be issued on a first-come, first-serve basis until the $100,000 is gone.

PROGRAM DURATION: The Program begins on February 18, 2009 at 12:00:01 a.m. Mountain Standard Time (MST) and will end when the last of $100,000.00 in scholarship award money has been distributed through this Program ("Promotion Period"). Zinch reserves the right to change the beginning date of the Program.

ENTRY—HOW TO WIN A MATCHING AWARD: There are two ways to win a matching award through the Program: Zinch will match, dollar-for-dollar, every Eligible Scholarship (defined below) that (1) you, an Eligible Participant, find on Zinch, indicate that you have applied for, win, claim, and which Zinch verifies that you actually received(each a “Matching Award”), or (2) an eligible friend you refer to Zinch, through the Referral Process (detailed below) (each a “Friend”), finds on Zinch, that your Friend indicates that he or she has applied for, wins, claims, and which Zinch verifies that he or she actually received (each a “Referral Matching Award”). In short, if your Friend wins an Eligible Scholarship of $1,000, Zinch will match the Eligible Scholarship and grant your Friend $1,000 Matching Award and you a $1,000 Referral Matching Award, subject to the terms and conditions of the Program herein.

To enter, find Eligible Scholarship(s) listed on Zinch. When you have applied for an Eligible Scholarship visit the “My Scholarship” page and indicate that you have applied for the Eligible Scholarship. This must be done before the scholarship deadline has passed as indicated on Zinch. Zinch timestamps the date on which you marked that you applied for each Eligible Scholarship. If the date on which you marked that you applied is later than the scholarship deadline listed on Zinch, you will be ineligible to receive a Matching Award under the Program for that particular scholarship if awarded to you.

PARTICIPANT ELIGIBILITY: The Program is open to legal residents of the 50 United States and the District of Columbia, who are: (1) at least 16 years of age, (2) a registered user on Zinch.com with a profile above 50% complete, (3) currently enrolled in high school or an accredited college or university, as listed on the U.S. Department of Education website, available at http://ope.ed.gov/accreditation/Search.aspx, and (4) have a cumulative grade point average of at least 2.0 on a 4.0, un-weighted scale (“Eligible Participant”). To be eligible to receive a Referral Matching Award, both the Friend who received the Eligible Scholarship and the participant who referred the Friend to Zinch must be Eligible Participants. The Program is void in Puerto Rico, all U.S. territories and possessions and where prohibited by law. Entries must be from individuals only; groups, organizations and multiple-party entries are not eligible. The Program is governed by United States law and is subject to all applicable federal, state and local laws and regulations. Employees of Zinch Inc., its parents, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and members of the immediate family or household of each are not eligible. Immediate family members include parents, siblings or any person residing in the same household as employee.

SCHOLARSHIP ELIGIBILITY: Zinch only grants Matching Awards and Referral Matching Awards to Eligible Participants who are awarded scholarships by one or more of the non-profit, non-government organizations listed on Zinch (“Eligible Scholarship”). The non-profit, for-profit, or government status of scholarship providers is clearly marked on the scholarship listings at Zinch. Zinch does not match scholarships that Zinch itself provides, including, but not limited to, March Madnezz, Ammunition for Tuition, 2010 Scholarship, and 2011 Scholarship. Zinch does not match grants, awards, fellowships, loans, forgivable loans, or internships. Zinch only matches scholarships. The status of an award as a scholarship, grant, award, fellowship, loan, forgivable loan or internship is clearly marked on the scholarship listings at Zinch.

REFERRAL PROCESS: To complete a referral to Zinch through which you may become eligible to qualify for a Referral Matching Award, you must invite your friends to register at Zinch through your unique URL. You will not be eligible to receive a Referral Matching Award if the user who obtains an Eligible Scholarship was not referred to the website through your unique URL. No exceptions. You can track everyone you have invited through your unique URL who has registered with Zinch. When a Friend registers, finds and wins a scholarship on Zinch, claims their Matching Award, and receipt of the Eligible Scholarship is verified by Zinch, you will be informed of your Referral Matching Award, and will be paid out the same amount, at the same time and in the same manner that Zinch will pay your Friend’s Matching Award.

CLAIMING YOUR AWARD: All awards are subject to verification by Zinch. When you win an Eligible Scholarship that you had timely indicated on Zinch that you applied for, email winner@zinch.com and provide Zinch the following information:
o Your Zinch username;
o The scholarship name;
o Scholarship award amount;
o Transcript from your current school; and
o Proof that you have won the scholarship.

No awards will be granted until Zinch is able to verify with the scholarship provider that you or your Friend received the Eligible Scholarship.

MATCHING AWARDS; ODDS: Matching awards will vary and will depend on the amount of the verified Eligible Scholarship award the participant or Friend has received. Prizes will be awarded on a first-come, first-serve basis until the $100,000 in scholarship prize money has been depleted. If the last Matching Award or Referral Matching Award is for an amount that would cause the sum of all Zinch matching awards to exceed $100,000, Zinch will match the partial amount, up to an aggregate $100,000 total for all matching awards. A participant meeting all the criteria to receive a Matching Award may receive multiple Matching Awards or Referral Matching Awards subject to the following limitations. If the participant has received or is receiving funds from a source other than immediate or extended family, including, but not limited to, scholarships, grants, military funds under a G.I. Bill or otherwise that in the aggregate will cover the entirety of the participant’s tuition and books for the student’s 2009-2010, 2010-2011, 2011-2012, 2012-2013 and/or later academic years, the participant will be ineligible to receive any Matching Award under the Program. If the participant's tuition is covered by other sources, then Zinch will one time, match funds for the purchase of books up to $500. To the extent any award has been extended to such a student prior to Zinch's discovery of such funds, the participant, or the educational institution who received the award on behalf of the participant, will immediately remit the Matching Award or Referral Matching Award to Zinch upon request. Matching Awards will be paid out in the same order in which Zinch receives notification emails indicating that an Eligible Participant has received an Eligible Scholarship. Matching dollars are non-renewable. If the scholarship underlying a Matching Award or Referral Matching Award is renewed, the Matching Award or Referral Matching Award will not be increased. This means the Matching Award will be no larger than the amount paid to a participant by the original scholarship provider in the first year of the award. No Matching Award will exceed the “Amount” listed on the original scholarship listing on the Zinch.com website. Participation in the Program is not a game of chance. Eligible Scholarships will be awarded to individuals based on criteria set by third-party scholarship providers and not Zinch. The only eligibility criteria to win a Matching Award or Referral Matching Awards are those set forth herein. Odds of winning a Referral Matching Award may be increased by the number of Friends correctly referred to Zinch. However, such odds will be affected by Friends’ desire to seek Eligible Scholarships, to participate in the Program, and their background, achievements, and other criteria that may better qualify them to receive an Eligible Scholarship, among other factors. ALL FEDERAL, STATE AND LOCAL TAXES, AND ANY OTHER COSTS AND EXPENSES, ASSOCIATED WITH THE RECEIPT OR USE OF ANY MATCHING AWARD OR REFERRAL MATCHING AWARD ARE THE SOLE RESPONSIBILITY OF THE WINNER. Awards are provided WITHOUT WARRANTY OF ANY KIND, express or implied, without limitation. Any prize won by an eligible minor will be awarded in the name of a parent or legal guardian.

PAYMENT DIRECTIONS: Zinch will pay all Matching Awards and Referral Matching Awards directly to the accredited college or university of a winning Eligible Participant, paid evenly over the full course of the participant’s tenure in college, or spread evenly over a participant’s remaining years in college if the participant is already enrolled. Eligible Participants who are in high school will have all awards paid over the first four years of university study, in four equal annual payments. Current college students will have the awards paid over the remainder of their university studies, paid in equal annual amounts.

CONTINUING ELIGIBILITY: You will be responsible for providing a letter of acceptance from the college or university where the Matching Award or Referral Matching Award will be directed. A Matching Award recipient must remain actively enrolled in a two- or four-year U.S. college or university undergraduate (accredited and listed on the U.S. Department of Education website http://ope.ed.gov/accreditation/Search.aspx) course of study, full time (at least 12 college credit hours), without interruption, barring illness, emergency, military service, or missions approved by Zinch in order to receive payments. The applicant must then remain enrolled full-time, without interruption, barring illness, emergency, military service, or missions approved by Zinch for the 2010, 2011, 2012, and/or later academic years, until graduation, to receive each years’ matching dollars. Funds may be applied to studies overseas provided that the study is a condition of the recipient’s degree plan and that payment continues to be made to the accredited U.S. college or university. If the recipient loses the scholarship, which was the basis for the Matching Award, for any reason, the recipient loses claim to any further matching dollars. Referral Matching Awards will also be lost if the Friend who received the scholarship, which was the basis for the Referral Matching Award, loses such scholarship.

GENERAL: A potential winner may be required to sign and return an Affidavit of Eligibility, a Liability Release, and, where legal, a Publicity Release. By entering, participants (1) agree to be bound by the official rules and the decisions of the Zinch which are final and binding in all respects; (2) agree to release Zinch, and its employees and agents from any and all liability, loss, damage or injury resulting from participation in the Program or awarding, receipt, possession use and/or misuse of any prize awarded herein and acknowledge that Zinch and its employees and agents have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any award; and (3) consent to use of his/her name, photograph and/or likeness for advertising and promotional purposes in connection with the Program without additional compensation, unless prohibited by law.

DISPUTES: This Program is governed by the laws of the United States and the State of Utah, without respect to conflict of law doctrines. As a condition of participating in this Program, participants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Program, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Utah having jurisdiction. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than participant's actual out-of-pocket expenses, and participant further waives all rights to have damages multiplied or increased.

MISCELLANEOUS: Zinch reserves the right to modify the Program if fraud or any other factor beyond Zinch’s reasonable control impairs the integrity of the Program as determined by Zinch in its sole discretion.
